Community Grocery Store (CGS) is a crypto project incorporated in the British Virgin Islands (BVI). This disclaimer outlines important information and risks regarding the upcoming CGS token presale, which offers the CGS governance token. The CGS governance token’s sole purpose is to enable voting in the CGS Decentralized Autonomous Organization (DAO) for community governance of the platform. Please read this disclaimer carefully. By participating in the CGS token presale, you acknowledge and agree to the terms and disclosures below.

Restricted Jurisdictions

No Offer in Certain Areas: The CGS token presale is not being offered to residents or citizens of certain jurisdictions. In particular, United States, Canada, Australia, the People’s Republic of China, and Hong Kong are restricted jurisdictions. If you are a citizen or resident of any of these regions (or any other jurisdiction where token sales are restricted or unlawful), you must not participate in the CGS token sale. Any purchase or attempted purchase of CGS tokens in violation of these restrictions is prohibited and will be deemed void. CGS reserves the right to refuse or cancel any token purchase that we determine, at our sole discretion, originates from or is made on behalf of a person in a restricted jurisdiction.

User Certification: All presale participants will be required to certify that they are not residents or citizens of the above restricted regions as a condition of participation. By proceeding with a token purchase, you represent and warrant that you are not a citizen or resident of the U.S., Canada, Australia, China, or Hong Kong, and that you are not accessing the presale from those jurisdictions. You further confirm that you are not acting on behalf of or for the benefit of any person or entity from a restricted jurisdiction. CGS disclaims any liability for purchases or transactions made in violation of these geographic restrictions.

Token Is Not a Security or Investment

No Securities Offering: The CGS token is not an investment contract, security, share, or equity interest in any company, nor is it a debt instrument or any form of financial investment product. Participation in the CGS token presale must not be construed as an investment in CGS or any related entity. Nothing on the CGS Platform, in our whitepaper, or in any other CGS communications constitutes a prospectus, an offering memorandum, or an offer to sell (or solicitation of an offer to buy) any securities or financial instruments.

No Ownership or Profit Rights: Purchasing or holding CGS tokens conveys no ownership rights in CGS or any affiliated company, and no rights to profits, dividends, revenue, or any form of financial reward from CGS or the CGS Platform. CGS tokens do not entitle you to any share of CGS’s assets, earnings, or governance beyond the DAO voting mechanism described below. In summary, holding CGS tokens does not grant any right to receive money, rewards, or other compensation from CGS or its affiliates, and you should not purchase CGS tokens with any expectation of profit or income.

Governance Use Only

Utility for DAO Governance: The sole intended purpose of the CGS token is to enable community governance within the CGS ecosystem. CGS tokens allow holders to vote on proposals and decisions in the CGS DAO, helping to steer the direction of the platform. CGS tokens have no utility outside of the governance process. In particular, they cannot be used for payments or purchases on the CGS marketplace or app. All purchases of goods and services on the CGS Platform are conducted in stablecoin (USDC) or other supported traditional payment methods, not in CGS tokens.

No Additional Rights: Outside of the DAO voting mechanism (and any community governance rewards explicitly defined by CGS’s policies), CGS tokens provide no other rights or benefits. They do not grant any management or decision-making authority beyond the DAO’s structured governance process, nor do they give token holders any direct influence over CGS’s day-to-day operations outside of community proposals. Holding CGS tokens simply allows you to participate in decentralized governance votes; it does not guarantee that any particular proposal will be implemented (votes are advisory/referenda within the DAO framework), and it confers no influence or control beyond what is afforded via the DAO system.

Participant Representations and Warranties

By participating in the CGS token sale, you represent and warrant that all the following statements are true at the time of your purchase:

  • Non-Restricted Status: You are not a citizen or resident of the United States, Canada, Australia, the People’s Republic of China, Hong Kong, and you are not purchasing the CGS token from within any such jurisdiction. You are not acting on behalf of a person or entity from a restricted jurisdiction. You are compliant with all applicable laws in your own jurisdiction that apply to the purchase of tokens, and your participation is not prohibited by any law or regulation that governs you.
  • Legality and Eligibility: You are legally permitted to participate in this token sale. You have obtained any governmental, legal, or regulatory approvals necessary to purchase and hold CGS tokens, if applicable. You are of sufficient legal age and sound mind to enter into this agreement and participate in the token sale. You have full understanding of the risks associated with cryptocurrencies and blockchain tokens (as detailed in the Risk Disclosures below and in the CGS Terms & Conditions).
  • Knowledge and Purpose: You are purchasing CGS tokens solely for your own use and utility within the CGS ecosystem – specifically, to participate in CGS’s DAO governance. You are not purchasing CGS tokens as an investment, for speculative trading, or with an expectation of profit or financial gain. You do not plan to engage in immediate resale of the tokens for speculative purposes. You acknowledge that CGS tokens are not being acquired as a security or substitute for any investment product, and you do not expect any guaranteed return, dividend, or increase in value from holding the token.
  • Compliance and No Sanctions: You are not subject to any sanctions administered by a government or regulatory authority (for example, you are not on any OFAC sanctions list). You are not purchasing the token using funds derived from any unlawful activities. Your participation in the token sale does not violate any anti-money laundering (AML), counter-terrorism financing (CTF), or other financial regulations applicable to you. You agree that you will provide any identity verification or KYC information required by CGS to comply with legal requirements. If we request KYC documentation from you, you will cooperate and provide accurate information.
  • Understanding of Terms: You have carefully read and understood this Token Sale Disclaimer in its entirety. You also acknowledge that you have read and agree to the CGS Terms & Conditions and Privacy Policy, which are available on our website. The Terms & Conditions and Privacy Policy are incorporated by reference into your participation in this token sale. In the event of any conflict between this Disclaimer and the CGS Terms & Conditions, the Terms & Conditions will prevail.
Risk Disclosures

Purchasing and holding the CGS token involves significant risks. By participating in the token sale, you acknowledge and accept the following key risks (in addition to those described in the CGS Terms & Conditions):

  • Market Volatility: Cryptocurrency and digital token markets are highly volatile. The value of CGS tokens may fluctuate dramatically over time due to market dynamics, technical developments, regulatory events, or other factors. There is no guarantee that CGS tokens will hold any particular value after the sale. The market price of CGS tokens could drop significantly, potentially to zero. You should be prepared for the possibility of losing the entire value of any funds used to purchase CGS tokens.
  • Loss of Funds: Purchasing CGS tokens carries a risk of financial loss. The CGS token is not legal tender and is not backed by any government. Token transactions are generally irreversible, and CGS will not provide refunds or compensation for any decrease in token value, operational failure, or lost tokens. Ensure that you use a secure, compatible wallet and follow best security practices. If you lose access to your tokens (for example, by losing your private keys), there is no central authority (including CGS) that can help recover them – such loss may be permanent.
  • Regulatory Uncertainty: Laws and regulations regarding blockchain tokens and cryptocurrency are evolving and remain uncertain in many jurisdictions. Regulatory actions, changes in law, or interpretations by authorities can materially affect the CGS project and the value or even legality of the CGS token. Government authorities may in the future impose restrictions, require registration, or take other actions that could limit the use, transfer, or functionality of the token. No regulatory body has approved or reviewed the CGS token sale. Participating in an unregistered token sale means you do not have the benefit of certain legal protections that might apply to regulated investments. CGS is not responsible for any losses or legal consequences arising from changes in laws or regulatory enforcement actions, including any impact on the ability to trade or use CGS tokens.
  • Project and Technical Risks: The CGS project (including its app, DAO, and associated smart contracts) is a new and developing technology initiative. There are inherent risks that the project may encounter technical issues, software bugs, security breaches, or other unforeseeable problems that could affect the token sale or the ongoing utility of the token. The CGS Platform and token are provided on an “as is” basis without guarantees of uptime, permanence, or error-free operation. Unanticipated technical or operational challenges may arise (for example, smart contract bugs, network congestion, or hacking incidents) which could negatively impact the project’s success and the token’s value or utility.
  • No Insurance or Guarantees: CGS tokens are not insured by any government or private insurer. There are no guarantees from CGS or any other entity that you will be able to recover any funds spent on purchasing tokens. You are buying tokens at your own risk. Neither CGS nor its team members will be liable for any losses, damages, or liabilities arising from the token sale or the use of CGS tokens, to the fullest extent permitted by applicable law. All token sale proceeds are intended to be used for project development as described in our materials, but there is no guarantee of the project’s success or that the tokens will have ongoing value.
No Regulatory Approval or Registration

The CGS token sale is being conducted in compliance with the applicable laws of the British Virgin Islands. However, the sale of CGS tokens has not been registered, approved, or licensed by any financial or securities regulatory authority. In particular, CGS tokens have not been and will not be registered under the securities laws of the United States, and may not be offered or sold within the United States or to U.S. Persons. Similarly, no prospectus or registration statement has been filed with regulators in Canada, Australia, the People’s Republic of China, Hong Kong, or any other jurisdiction where the offering of tokens is regulated or prohibited.

No Endorsement by Regulators: No regulatory body – including but not limited to the U.S. Securities and Exchange Commission, any Canadian securities regulators, the Australian Securities & Investments Commission, or authorities in China or Hong Kong – has reviewed, approved, or endorsed CGS tokens or this token presale. Because this token sale is not registered, you will not have the benefit of any specific government investor protection schemes or disclosures that might apply to a registered offering. By participating, you acknowledge that it is your responsibility to comply with any laws and regulations applicable to you, and that CGS is not liable for any participant’s failure to do so.
